Terms of Service

KLEKT - TERMS OF SERVICE (UK & EU)

For consumers (personal, non-business use)

Last updated: 15 October 2026

These Terms apply to everyone using KLEKT in the UK and EU for personal, non-business purposes. They cover buying, selling, listing, authentication, shipping, profiles and fees. Country-specific consumer rights for EU-resident users are set out in Appendix 2 (EU Addendum), which prevails over the main body where it conflicts. Fees are in Appendix 1.

If you sell in the course of a business, trade, craft or profession, these Terms do not apply to your selling activity. You must instead register as a business seller and accept the separate KLEKT Business Seller Terms. See section 4.1.

1. Introduction & Acceptance

KLEKT is an online marketplace operated by Authenticated By Ltd trading as KLEKT ("KLEKT", "we", "us", "our"), which allows registered users to buy and sell consumer goods including sneakers, streetwear, accessories and collectibles.

Our company number is 11767589 and our VAT number is 313 9211 32. Our registered office is Suite 15A, Stone Cross Place, Stone Cross Lane, Warrington WA3 2SH.

These Terms of Service ("Terms") apply whenever you access or use the KLEKT app or website ("KLEKT"), whether or not you are registered. They govern your relationship with us and, where applicable, with other users when buying or selling items.

By accessing or using KLEKT, you agree to be bound by these Terms. If you do not agree, you must not use KLEKT.

2. Definitions

Buyer - a registered user who purchases an item through KLEKT.

Seller - a registered user who lists or sells an item through KLEKT. Includes both Private Sellers and, where the context requires, Business Sellers.

Private Seller - an individual selling their own items for personal, non-business purposes.

Business Seller - a company or individual selling in the course of a trade, business, craft or profession (a "trader"), operating under the KLEKT Business Seller Terms.

Consumer - an individual buying for purposes wholly or mainly outside their trade, business, craft or profession.

Registered User - a person with an active KLEKT account.

Seller Price - the amount the Seller agrees to receive for an item, before fees.

Service Fee - the KLEKT fee described in section 9 and Appendix 1; see also the KLEKT Guarantee (section 6.4).

Purchase Price - the total amount paid by the Buyer, including the Seller Price, applicable Service Fee, shipping and any add-ons.

Administrative Fee - fees for specific events such as failed authentication, late shipment or failed delivery (Appendix 1).

Authentication Threshold - determines the logistics lane and whether authentication is included (see sections 6 and 10) and is priced as the amount displayed by KLEKT at the relevant time.

Authenticated Item - an item that passes through a KLEKT Authentication Center and is checked by our authentication team before delivery.

Direct-Ship Item - an item priced under the Authentication Threshold that is shipped directly from Seller to Buyer without passing through a KLEKT Authentication Center, and is not authenticated by KLEKT unless authentication is purchased.

KLEKT Guarantee - the buyer protection provided in exchange for the Service Fee, as described in section 6.4.

Services - the services provided by KLEKT as described in these Terms.

Working Day - any day other than Saturdays, Sundays or public holidays in England and Northern Ireland.

Defects - any material discrepancy between an item and its listing.

Profile - a user's public page on KLEKT (see section 8A).

Trust Tier - a Seller's status level, which affects Seller fees and payout timing (Appendix 1).

Sale - when a Buyer places an order at the listed Seller Price, or a bid/counter-offer is accepted by both Seller and Buyer.

3. The KLEKT Marketplace Model

3.1 Role of KLEKT

KLEKT is a marketplace platform, not a retailer.

KLEKT does not own, sell, or resell items listed by users.

Contracts for the sale of items are formed directly between the Buyer and the Seller.

KLEKT acts as: a marketplace operator; an authentication service provider (for Authenticated Items and where authentication is purchased); a payment collection and disbursement agent; and a shipping coordinator.

3.2 Private vs. business sellers

Some Sellers on KLEKT are private individuals and some are Business Sellers (traders). Your legal rights differ depending on which type of Seller you buy from. We label each listing to show whether the Seller is a Private Seller or a Business Seller. Where you buy from a Business Seller, you have additional statutory consumer rights, including (in most cases) a right to cancel - see section 12.

3.3 No auctioneering

KLEKT is not an auctioneer. Any bidding or "Buy Now" functionality does not constitute an auction.

4. Eligibility & Accounts

4.1 Eligibility

To use KLEKT for personal purposes, you must be at least 18 years old and have legal capacity to enter into contracts.

Business sellers. Selling in the course of a trade, business, craft or profession is permitted, but only under the separate KLEKT Business Seller Terms. If you sell as a business without registering as a Business Seller, or if we reasonably determine that your selling activity is in fact business use, we may reclassify your account, require you to accept the Business Seller Terms, suspend or cancel affected listings, and/or apply the fees and obligations that apply to Business Sellers. Indicators of business use include volume, frequency, sourcing patterns, and holding items for the purpose of resale.

4.2 Account registration

You may browse KLEKT without registering. Registration is required to buy or sell. You must provide accurate, complete and current information; keep it up to date; and keep your login credentials confidential.

You may hold only one account unless we permit otherwise. If an account of yours is suspended or terminated, you must not use or create other accounts without our permission. We may open an investigation where we cannot verify your identity.

4.3 Single sign-on / third parties

We may allow registration via third-party accounts such as Meta or Google Single Sign-On. However you register, you are bound by these Terms. Enabling third-party sign-on does not imply any association between us and the third party.

4.4 Suspension & termination

We may suspend or terminate your account or any listing where you breach these Terms, provide inaccurate information, engage in prohibited or fraudulent conduct, create legal or reputational risk, or have an extended period of inactivity. Where we do so, we will give you the reasons unless we are prevented from doing so by law or by an ongoing investigation. You may appeal via support.

4.5 Your data

We collect Registration Data including your name, address, telephone number, email address, date of birth, and payment information. See our Privacy Policy for what we collect, why, your rights, and how direct shipping affects the sharing of delivery details (section 11).

Where required by applicable EU or UK law, including the Digital Services Act, KLEKT may require Sellers to provide and verify information relating to their identity, tax identification details, contact details and, where applicable, business status before permitting them to sell on KLEKT. We may request additional information or documentation to verify a Seller's status and may suspend or restrict selling activity where the required information cannot be verified or is incomplete or inaccurate. Business Sellers may also be required to display certain verified information to Buyers as required by law. KLEKT may take reasonable measures to prevent the sale of illegal or prohibited goods, including removing listings, suspending accounts and cooperating with competent authorities.

4.6 Unauthorised access

You are responsible for use of your account and for keeping your password confidential. Account sharing is prohibited. Tell us immediately if you suspect unauthorised use.

5. General User Obligations

You agree to comply with all applicable laws; act honestly and in good faith; not circumvent platform safeguards; and not engage in fraud, manipulation or misuse. You are responsible for all activity on your account.

6. Buying on KLEKT

6.1 How purchases work

You may purchase by paying the listed price ("Buy Now"), placing a bid that is accepted, or accepting a counter-offer.

6.2 Binding effect

When you place a bid, accept an offer, or click "Buy Now", you make a legally binding commitment to purchase.

6.3 Payment

For both “Buy Now”, we pre-authorise the total transaction amount and capture payment in full once the Seller accepts. If the order is not accepted, we void the pre-authorisation and the funds are released (timing depends on your bank).

Accepted payment methods include Visa (credit/debit), Mastercard (credit/debit), PayPal, Apple Pay and Google Pay. We may offer Klarna, subject to Klarna's own terms, privacy policy and eligibility/credit checks.

6.4 The KLEKT Guarantee, authentication & defects

The Service Fee is a protection mechanism for buyers and sellers, not a processing charge. What it covers depends on the item's logistics lane:

(a) Authenticated Items (at or above the Authentication Threshold - €150+).

These pass through a KLEKT Authentication Center and are checked by our authentication team before delivery. The purchase is conditional upon authentication.

If an item fails authentication, the sale is cancelled and the Buyer receives a full refund (typically 3-5 Working Days).

If an item is confirmed authentic but not as described, we will contact the Buyer to decide whether to proceed. If the Buyer does not accept the Defects, the sale is cancelled and the Buyer receives a full refund.

(b) Direct-Ship Items (in a supported region AND below the Authentication Threshold - under €150).

Where applicable logistics lanes exist, these ship directly from Seller to Buyer and are not authenticated by KLEKT unless authentication is purchased. For these items the KLEKT Guarantee covers:

non-delivery of an item that was paid for;

items that are deemed counterfeit by our assessment; and

items that arrive materially not as described (materially different from the listing's description and photos).

To claim, notify us within 2 Working Days of delivery via your account, with photos; see section 6.10.

If you believe an item to be counterfeit and you did not purchase optional authentication for orders that are shipped direct, you (as the buyer) have the burden of proving that the item is counterfeit through providing images and other evidence to support your claim.

(c) Optional / pre-paid authentication (where marked as eligible).

For Direct-Ship Items, you may add KLEKT Authentication via a KLEKT Authentication Center (€15) at checkout, or the Seller may offer pre-paid authentication on the listing. Where authentication is purchased, the item is routed through a KLEKT Authentication Center, checked before delivery, and the authenticity cover in (a) applies.

Display settings on your device may make colours and details look slightly different from the item in real life.

6.5 Title

Ownership transfers to the Buyer only after:

for Authenticated Items: successful authentication and payment to the Seller;

for Direct-Ship Items: payment to the Seller and delivery to the Buyer.

Unless you tell us otherwise, we assume you buy for your own use. If you buy on behalf of someone else, you remain responsible for the obligations in these Terms, including payment.

6.6 Buy Now

"Buy Now" attempts to match your order with the lowest available listing for the selected product and size at the time of purchase.

If a Seller declines or fails to ship in time, you will receive a refund.

6.7 Bidding & counter-offers

A bid below the displayed Purchase Price is a legally binding offer to buy at your proposed price. You must provide a valid payment method and authorise us to charge it for the bid amount plus applicable fees, taxes, shipping and other disclosed amounts if the Seller accepts. For new Buyers we may run a card verification or nominal pre-authorisation (which may be £0.00/€0.00) for fraud prevention; this does not transfer or reserve funds.

The Seller may accept, reject, or counter. Accepting a counter-offer forms a binding contract at that amount. If the Seller rejects or does not respond in time, your bid becomes an open bid, which any Seller with a matching item may accept.

If payment cannot be processed automatically after acceptance, you must complete payment manually within 24 hours or the order is cancelled and we may take other action permitted under these Terms.

6.8 Add-ons

At checkout you may buy optional Add-Ons (Appendix 1). All Add-Ons are final sale and non-refundable unless required by law. Cleaning Add-Ons are performed by KLEKT's designated team with reasonable care and skill, but we do not guarantee removal of all marks, stains, odours, creases or blemishes, or restoration to "as new" condition; outcomes vary with material, age and condition. By purchasing a cleaning Add-On you accept these limitations.

6.9 Delivery

Shipping is charged to Buyers as set out in Appendix 1.

6.10 Buyer protection claims & disputes

If an item is not delivered, or arrives materially not as described (or, where authentication was purchased, is found to be counterfeit), notify us via your account within 2 Working Days of delivery (or expected delivery) with supporting evidence. We may require you to send up to 12 images and/or return the item. Where a claim is upheld under the KLEKT Guarantee, you receive a refund of the Purchase Price (and, where we determine the fault lies with the Seller, we may recover from the Seller). This process is in addition to, and does not limit, your statutory rights (sections 12 and Appendix 2).

7. Selling on KLEKT (Private Sellers)

(Business Sellers: see the KLEKT Business Seller Terms. This section 7 applies to Private Sellers.)

7.1 Seller warranties

By listing an item you warrant that: you own it outright and have the right to sell it; it is authentic; the listing is accurate (model, size, included accessories, box condition, item condition, all photos, and the Seller Price in the applicable currency); the sale is lawful; and no third-party rights are infringed.

7.2 Listings as offers

A listing is an offer to sell. Acceptance by a Buyer forms a binding contract.

7.3 Acceptance obligations

After a Sale you must accept the order within the required timeframe and follow the instructions provided.

7.4 Shipping obligations

After a Sale you must ship the item - including all listed components (box, accessories) - within the required timeframe and per our instructions.

Authenticated Items (€150+): ship to your nearest KLEKT Authentication Center.

Direct-Ship Items (in a supported region AND under €150): where relevant logistics lanes exist, ship directly to the Buyer using the label/instructions we provide OR, as denoted on the platform, you may be able to provide your own shipping label. Because the item does not pass through KLEKT, the Buyer's delivery details are shared with you solely for fulfilment (section 11).

Ensure both shoes in a pair are the correct size and condition and match the listing. Retain proof of shipment. Failure to comply may result in cancellation and Administrative Fees (Appendix 1).

7.5 Consignment

If you ship an Authenticated Item to a KLEKT Authentication Center and it does not match your listing OR where you have used Direct Ship and the Buyer has provided evidence that the item does not match your listing (wrong size, missing components, wrong product), the order cannot be fulfilled and/or your payout cannot be completed. Our team records the reason. Where permitted, KLEKT may create a consignment listing: we retain and store the item and relist it. If you do not want it stored and consigned, you must pay the applicable return fees and costs.

Where a consignment listing is created, the item is stored at a KLEKT Authentication Center, listed for sale, and shipped from the Authentication Center on purchase. The consignment price may reduce over time; Buyers see the current price. You may amend the price via your account, subject to platform rules. Applicable fees are deducted from your payout on sale.

8. Listings & User Content

8.1 Individual, item-based listings

Every listing is for a real, individual item that you physically possess. You must upload your own photographs of the actual item (not stock images, renders, or images taken from other listings or the internet). Listings must accurately describe condition, defects and included packaging, using the designated templates.

Item packaging shown may be illustrative; any difference in the packaging you receive will be noted on the listing. Read listings carefully and raise any queries with us before purchase, as listings may be updated.

8.2 Content licence

By uploading photos, text or other content (including on your Profile), you grant KLEKT a royalty-free, worldwide, sublicensable licence to host, use, reproduce, adapt and display that content for operating, authenticating, securing and promoting the Services. You warrant that you own or have all necessary rights to the content and that it does not infringe any third-party rights, or breach any laws and you agree to indemnify us against claims arising from content you provide. To the extent permitted by law, you waive moral rights in the content for these purposes.

8.3 Conditions & defects

We accept listings that are New/Deadstock, Like New, Very Good, Good and Fair. For New with Defects or Used items you must provide complete, accurate information and images per the designated template. Any statement of opinion must be honest, reasonable and considered, and must be identified as opinion.

8.4 Prohibited content

You must not upload content that is unlawful, misleading, infringing, obscene, harassing, or that misrepresents an item or another user. We may remove content and/or suspend accounts for breach.

8A. Profiles & Community

8A.1 Public profiles

You may create a public Profile to showcase your listings and activity. Information on your Profile is visible to other users and may be indexed publicly. Your wallet, balance, payout details and payment information are private and are never shown on your Profile. You control what optional information you add; do not post personal data you are not comfortable making public.

8A.2 Member-to-member communication

KLEKT provides messaging so members can communicate about listings and orders. You must not use messaging or Profiles to: harass, threaten or abuse others; post unlawful, infringing or misleading content; solicit or arrange transactions off-platform; share payment or contact details in order to circumvent KLEKT's fees or safeguards; or spam or advertise unrelated goods. Attempting to complete or divert a KLEKT-originated transaction off-platform ("off-platform sales") is prohibited and may result in Administrative Fees, suspension and loss of buyer/seller protection.

8A.3 Moderation & reporting

You can report Profiles, listings and messages. We may review, remove or restrict content and accounts that breach these Terms. We may share transaction-related information between a Buyer and Seller strictly as needed to fulfil an order (including delivery details for Direct-Ship Items - section 11).

9. Pricing, Fees & Payments

9.1 Fees

Browsing and registration are free. The KLEKT Service Fee (section 6.4 / Appendix 1) is a protection fee for buyers and sellers covering the KLEKT Guarantee, marketplace access, order processing and (for Authenticated Items) authentication, plus VAT where applicable. Buyer shipping and any optional authentication, Add-Ons or promoted features are charged separately as set out in Appendix 1.

9.2 Administrative fees

Administrative Fees may apply for events including failed authentication, confirming but not shipping, generating a label but not shipping, item(s) not as described, late shipment, failed delivery, storage/consignment, and off-platform sales. Some Administrative Fees apply only in the lane where they can arise (for example, authentication-related fees apply only where authentication takes place). Repeated offences may lead to suspension. Unpaid Administrative Fees may be deducted from payouts or charged to your payment method.

9.3 Taxes

Users are responsible for applicable taxes unless expressly stated otherwise. Fees are inclusive of VAT where applicable.

9.4 Failure to pay

Only purchase items you genuinely intend to buy and can pay for.

9.5 Seller payouts & Trust Tiers

Seller Service Fees and payout timing depend on your Trust Tier (Appendix 1). Higher tiers unlock lower fees and faster payout. Tier criteria are set by KLEKT and shown in your Seller dashboard; we may adjust your tier based on performance, disputes and compliance.

10. Authentication

Authenticated Items, and any item for which authentication has been purchased, are inspected by KLEKT's authentication team and, where applicable, a professional third-party authenticator. Authentication decisions are made using commercially reasonable expertise and are final. Items under the Authentication Threshold that ship direct are not authenticated by KLEKT unless authentication is purchased, and the KLEKT Guarantee for those items does not cover authenticity (section 6.4(b)).

11. Shipping, Delivery & Risk

KLEKT offers Sellers Pick-Up (selected locations, subject to availability) and Drop-Off options.

Authenticated Items: the Seller ships to a KLEKT Authentication Center; KLEKT ships the authenticated item to the Buyer (double-boxed where possible) and provides tracking on dispatch.

Direct-Ship Items (in a supported region AND under €150): the Seller ships directly to the Buyer. To enable this, we share the Buyer's delivery name and address with the Seller solely for fulfilling that order; the Seller must not use it for any other purpose. Tracking is provided where available.

Delivery times are estimates. Risk transfers to the Buyer on delivery.

12. Cancellations, Returns & Refunds

12.1 Purchases from Private Sellers

Purchases between private individuals are private sales, so there is no statutory right to cancel in the UK. As a matter of KLEKT policy, a Consumer (whether resident in the UK or EU) may return an item bought from a Private Seller within 14 calendar days of delivery (for EU residents, see Appendix 2), in original condition with the KLEKT tag attached (where applicable); you bear the return cost and original shipping is non-refundable unless the item is faulty or misdescribed.

12.2 Purchases from Business Sellers (statutory right to cancel)

Where you are a Consumer buying from a Business Seller by distance, you generally have a statutory right to cancel within 14 days without giving a reason:

UK: under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

EU: under Directive 2011/83/EU (see Appendix 2), plus the legal guarantee of conformity under Directive (EU) 2019/771.

The 14-day period runs from the day you (or someone you nominate) receive the item. To cancel, notify us via your account or support (you may use the model cancellation form we provide). You must return the item within 14 days of cancelling; you bear the direct cost of return unless the item is faulty or not as described. We (on behalf of the Business Seller) will refund the Purchase Price, including standard outbound shipping, within 14 days of receiving the item back or proof of return. Limited statutory exceptions may apply and will be disclosed on the relevant listing.

12.3 Faulty or misdescribed items

Nothing in these Terms limits your statutory consumer rights. Where an item is faulty or not as described:

from a Business Seller, you have full statutory remedies (repair, replacement, price reduction or refund as applicable);

from a Private Seller, the item must still match its description, and the KLEKT Guarantee (section 6.4) and dispute process (section 6.10) apply.

For faulty or not-as-described items, the Seller bears the cost of return shipping and we refund the original outbound shipping you paid, in addition to the Purchase Price. Where a return is required, it is routed and validated as set out in section 12.4.

Refunds are processed within 14 days of receiving a returned item.

12.4 How returns are routed and validated

Where a return is authorised, where you send it and who validates it depend on the item’s logistics lane. Items under the Authentication Threshold (under €150) are returned directly to the Seller, who accepts and validates the return. Items at or above the Threshold (€150+), and any item for which authentication was purchased, are returned to the KLEKT Authentication Centre, which accepts and validates the return before any refund is issued. Once validated, the item is held at the KLEKT Authentication Centre: the Seller may either pay the applicable fees (including return shipping and, where the Seller is at fault, any penalty) to have the item returned, or, if those fees are not paid, KLEKT may place the item on consignment sale (section 7.5) and recover the fees from the sale proceeds. Where you exercise a statutory right to cancel or withdraw, you are refunded within the statutory period regardless of this routing, and this routing does not otherwise affect your statutory rights. We provide the applicable return label and instructions when a return is authorised.

12.5 Illegality

Orders may be cancelled if the sale becomes unlawful.

13. Fraud, Counterfeits & Enforcement

We operate a zero-tolerance policy for counterfeit items, fraud and market manipulation. We may suspend accounts, withhold funds, cancel transactions, and cooperate with law enforcement.

14. Account Closure

You may request closure via support; we will consider the request within 3 Working Days. Outstanding obligations survive closure. We may delay closure to complete transactions or investigations.

15. Availability & Liability

KLEKT is provided "as is" and we do not guarantee uninterrupted access. Nothing limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded by law (including your non-excludable statutory consumer rights). Subject to that, our total liability arising from any transaction is capped at the lower of the Purchase Price of the item or £10,000 / €12,000.

16. Communications

16.1 Marketing & transactional. We communicate via the platform, email or phone. Marketing is sent only to users who opt in; you may opt out at any time via support or the unsubscribe link.

16.2 Member-to-member. Messages sent through KLEKT are relayed through the platform. Except as needed to fulfil an order, we do not share your name, address, telephone number, email or date of birth with other users without your consent. For Direct-Ship Items, delivery details are shared with the Seller strictly to fulfil the order (sections 8A.3 and 11).

16.3 Transactional emails. You will receive automated order emails. Check your spam folder; we are not responsible for incorrect email filtering.

17. Disputes

Contact us first. Where appropriate we may assist with dispute resolution.

18. Additional Policies & Third-Party Content

Additional policies (including the Privacy Policy and any Community Guidelines) form part of these Terms. Where policies conflict, the more specific policy applies. Third-party content is used at your own risk.

19. Changes to These Terms

We may update these Terms from time to time. For material changes we will give reasonable notice. Continued use after changes take effect constitutes acceptance.

20. Governing Law

These Terms are governed by English law and the English courts have jurisdiction. If you are a Consumer resident in the EU or another part of the UK, you retain the benefit of any mandatory consumer-protection laws of your country of residence, and may bring proceedings there where the law allows (Appendix 2).

Appendix 1 - Fees & Charges (UK & EU)

We may deduct fees from Seller payouts, charge a saved payment method, or offset fees against amounts payable. If payment cannot be recovered, we may suspend accounts or take recovery action.

6. Fee Changes

Fees may change; changes apply prospectively and will be displayed or notified where required.

7. Taxes

Fees are inclusive of VAT where applicable; users are responsible for any additional taxes, duties or charges imposed by law.

8. Transparency & Support

Current fees are shown during checkout and listing, and in Help/FAQ. If you think a fee was applied incorrectly, contact support. Failure to apply a fee once does not waive our right to apply it later.

Appendix 2 - EU Addendum

This Addendum applies to Consumers habitually resident in the EU and prevails over the main Terms where they conflict.

1. Consumer rights (EU)

Nothing affects your mandatory rights under EU consumer law, including (where applicable) Directive (EU) 2019/770, Directive (EU) 2019/771, and Directive 2011/83/EU.

2. Right of withdrawal

2.1 Purchases from Private Sellers. These are consumer-to-consumer private sales, so the statutory 14-day right of withdrawal under Directive 2011/83/EU does not apply. As a matter of KLEKT policy, you may nonetheless return such an item within 14 days (section 12.1).

2.2 Purchases from Business Sellers. You have the statutory 14-day right of withdrawal under Directive 2011/83/EU. The period runs from delivery. You may use the model withdrawal form provided. You must return the item within 14 days of withdrawing and bear the direct return cost unless the item is faulty or not as described; refunds (including standard outbound shipping) are made within 14 days of our receiving the item back or proof of return. Statutory exceptions, where they apply, are disclosed on the listing.

2.3 Seller status disclosure. Each listing indicates whether the Seller is a trader (Business Seller) or a private individual, and consumer-protection law based on trader status applies accordingly.

3. Digital services compliance

We provide our digital services with reasonable care and skill and in accordance with EU law. Where required, you may have rights to correction, continuation of service, or termination.

4. Transparency & ranking

Where listings are ranked, sorted or featured, this may be influenced by price, demand, item condition, seller performance, historical transaction data and promotional placement (e.g., Promoted Listings). We do not guarantee visibility, ranking or sale.

5. Governing law & jurisdiction

You benefit from the mandatory consumer-protection laws of your country of residence, and nothing in these Terms deprives you of those protections.

KLEKT - TERMS OF SERVICE (UNITED STATES)

For consumers (personal, non-business use)

Last updated: 15 October 2026

These Terms apply to users located in the United States who use KLEKT for personal, non-business purposes. If you sell in the course of a business, you must register as a Business Seller and accept the separate KLEKT Business Seller Terms (section 4.1). Fees are in Appendix 1. Please read section 19 (Dispute Resolution; Arbitration; Class-Action Waiver) carefully - it affects how disputes are resolved.

1. Introduction & Acceptance

KLEKT is an online marketplace operated by Authenticated By Ltd trading as KLEKT (“KLEKT”, “we”, “us”, “our”), allowing registered users to buy and sell consumer goods including sneakers, streetwear, accessories and collectibles.

These Terms of Service (“Terms”) apply whenever you access or use the KLEKT app or website (“KLEKT”). By accessing or using KLEKT, you agree to these Terms. If you do not agree, do not use KLEKT.

2. Marketplace & Platform Role

KLEKT acts solely as a marketplace facilitator. KLEKT is not the seller of items and does not take title to items. Sellers are solely responsible for the accuracy, legality and authenticity of their listings. Contracts of sale are formed directly between Buyer and Seller. Some Sellers are private individuals and some are Business Sellers (traders); each listing indicates which, and your rights may differ accordingly.

3. Definitions

Key terms are used as in the KLEKT UK & EU Terms, adapted for the US: Authentication Threshold means the amount we display; Authenticated Item, Direct-Ship Item, KLEKT Guarantee, Service Fee, Trust Tier, Business Seller, Private Seller and Consumer have the meanings given in those Terms. Prices and fees are shown in US dollars.

4. Eligibility & Accounts

4.1 Eligibility

You must be at least 18 and able to enter into contracts. Business use of selling features is permitted only under the separate KLEKT Business Seller Terms. If we reasonably determine your selling activity is business use, we may reclassify your account and apply Business Seller terms and fees.

4.2 Accounts

Provide accurate information, keep it current, keep credentials confidential, and hold only one account unless we permit otherwise. You are responsible for all activity on your account. We may allow third-party sign-on (e.g., Google, Meta) subject to these Terms.

4.3 Suspension & termination

We may suspend or terminate your account or listings for breach, inaccurate information, prohibited or fraudulent conduct, legal or reputational risk, or extended inactivity.

5. General User Obligations

Comply with all applicable laws; act honestly and in good faith; do not circumvent safeguards; do not engage in fraud, manipulation or misuse.

6. Buying on KLEKT

6.1 How purchases work

Buy at the listed price (“Buy Now”), by placing a bid that is accepted, or by accepting a counter-offer. Each is a binding commitment to purchase.

6.2 Payment

For “Buy Now” we pre-authorize the total and capture on Seller acceptance; if not accepted, we void the pre-authorization. Accepted methods include major cards, PayPal, Apple Pay and other methods shown at checkout. We may offer buy-now-pay-later providers subject to their own terms and eligibility checks.

6.3 The KLEKT Guarantee, authentication & defects

The Service Fee is a buyer and seller protection fee, not a processing charge. Coverage depends on the logistics lane:

(a) Authenticated Items ($160+). Pass through a KLEKT Authentication Center and are checked before delivery. If an item fails authentication, the sale is canceled and the Buyer is fully refunded. If authentic but not as described, we contact the Buyer; if the Buyer declines the defects, the sale is canceled and refunded.

(b) Direct-Ship Items (in a supported region AND under $160). Ship directly from Seller to Buyer and are not authenticated by KLEKT unless authentication is purchased. The KLEKT Guarantee for these items covers non-delivery and items that arrive materially not as described, but not authenticity unless authentication was purchased. To claim, notify us within 2 business days of delivery via your account, with photos (section 6.7).

(c) Optional / pre-paid authentication (in a supported region AND under $160). You may add KLEKT Authentication ($15) at checkout, or the Seller may offer it on the listing; the item is then routed through a KLEKT Authentication Center and the authenticity cover in (a) applies.

6.4 Title & risk

Title transfers on: (Authenticated Items) successful authentication and payment to the Seller; (Direct-Ship Items) payment to the Seller and delivery to the Buyer. Risk transfers to the Buyer on delivery.

6.5 Buy Now

As in the UK/EU Terms: "Buy Now" attempts to match your order with the lowest available listing for the selected product and size at the time of purchase.

If a Seller declines or fails to ship in time, you will receive a refund.

6.6 Bidding, counter-offers & add-ons

Bids and counter-offers operate as in the UK/EU Terms and form binding contracts on acceptance. Optional Add-Ons (Appendix 1) are final sale and non-refundable unless required by law; cleaning outcomes are not guaranteed.

6.7 Buyer protection claims

Report non-delivery, materially-not-as-described items, or (where authentication was purchased) counterfeits within 2 business days of delivery, with evidence. Upheld claims are refunded under the KLEKT Guarantee; we may recover from the Seller where the fault is theirs. This does not limit any non-waivable rights you have under applicable law.

7. Selling on KLEKT (Private Sellers)

(Business Sellers: see the KLEKT Business Seller Terms.)

By listing, you warrant you own the item and may sell it; it is authentic; the listing (model, size, accessories, box condition, condition, all photos, and the Seller Price in USD) is accurate; the sale is lawful; and no third-party rights are infringed. A listing is an offer to sell; a Buyer’s acceptance forms a binding contract.

After a Sale you must accept and ship within the required timeframes: - Authenticated Items ($160+): ship to your nearest KLEKT Authentication Center. - Direct-Ship Items (in a supported region AND under $160): ship directly to the Buyer using the label/instructions we provide; the Buyer’s delivery details are shared with you solely for fulfilling that order (section 11).

Retain proof of shipment. Failure to comply may result in cancellation and Administrative Fees (Appendix 1). Consignment for mismatched Authenticated Items operates as in the UK/EU Terms.

8. Listings & User Content

Every listing is for a real, individual item you physically possess, using your own photographs of the actual item. Listings must accurately describe condition, defects and packaging. By uploading photos, text or other content (including on your Profile), you grant KLEKT a royalty-free, worldwide, sublicensable license to host, use, reproduce, adapt and display it to operate, authenticate, secure and promote the Services, and you warrant you have the rights to do so and will indemnify us against related claims. Prohibited content includes anything unlawful, misleading, infringing, obscene or harassing.

8A. Profiles & Community

You may create a public Profile to showcase listings and activity; your wallet, balance and payment information remain private. Do not use Profiles or messaging to harass others, post unlawful or infringing content, solicit or arrange off-platform transactions, share details to circumvent KLEKT’s fees, or spam. Off-platform sales are prohibited and may result in fees, suspension and loss of protection. We may moderate, remove or restrict content and accounts, and you can report others.

9. Pricing, Fees & Payments

Browsing and registration are free. The KLEKT Service Fee (Appendix 1) is a protection for buyers and sellers covering the KLEKT Guarantee, marketplace access, order processing and (for Authenticated Items) authentication. Buyer shipping, optional authentication, Add-Ons and promoted features are charged separately. Administrative Fees apply for specified events (Appendix 1). Seller fees and payout timing depend on your Trust Tier. Users are responsible for applicable taxes except as stated in section 12.

10. Authentication

Authenticated Items, and items for which authentication was purchased, are inspected by KLEKT’s team and, where applicable, a professional third-party authenticator; decisions are final. Direct-Ship Items are not authenticated unless authentication is purchased.

11. Shipping, Delivery & Risk

• Authenticated Items: Seller ships to a KLEKT Authentication Center; KLEKT ships to the Buyer with tracking on dispatch.

• Direct-Ship Items (in a supported region AND under $160): Seller ships directly to the Buyer; we share the Buyer’s delivery name and address with the Seller solely to fulfill that order, and the Seller must not use it otherwise.

Delivery times are estimates. Risk transfers on delivery.

12. Sales Tax

For orders where the Buyer is in the US, applicable sales tax may be calculated and added at checkout under federal, state and local law. Where required, KLEKT (as a marketplace facilitator) will determine, collect and remit sales tax based on factors including the shipping address, product type and applicable marketplace-facilitator laws; the amount is shown at checkout. Buyers must provide accurate billing and shipping information; incorrect information may cause incorrect tax calculation, for which KLEKT is not liable. Where sales tax is required but not collected at checkout, Buyers remain responsible for any use tax under local law. Tax is non-refundable except where the underlying transaction is refunded, in which case applicable sales tax is refunded as required by law. Eligible Buyers may apply to purchase without sales tax being collected under the US Tax Exemption Certificate Program (section 12A).

12A. US Tax Exemption Certificate Program

12A.1 Overview

KLEKT operates a US Tax Exemption Certificate Program (the “Exemption Program”) that allows eligible Buyers to purchase qualifying items without KLEKT collecting sales tax, where a valid, current exemption or resale certificate has been submitted to and approved by KLEKT. Until a certificate is approved, sales tax will be calculated and collected at checkout in accordance with section 12. The Exemption Programme does not change your responsibility for any use tax or other tax you owe under applicable law.

12A.2 Eligibility

The Exemption Program is available to Buyers who hold a valid exemption under applicable state or local law. Eligible categories may include: (a) tax-exempt organizations (for example, qualifying charitable, religious, educational or other non-profit entities under Section 501(c)(3) of the Internal Revenue Code or an equivalent state provision); (b) federal, state, local and tribal government entities and their instrumentalities; (c) Buyers purchasing for resale who hold a valid resale certificate; and (d) any other category recognized by the relevant taxing jurisdiction. Providing a resale certificate, or otherwise buying in the course of a business, may indicate business use and could result in reclassification of your account and the application of Business Seller terms and fees under section 4.1.

12A.3 How to submit (upload) a certificate

To claim an exemption, upload your certificate through your account before or at the time of purchase:

• Go to Account Settings › Tax / Tax Exemptions (or the equivalent screen shown in your account).

• Select the state(s) for which you are claiming exemption and the applicable exemption type (for example, resale, non-profit, or government).

• Upload a complete, signed and dated certificate as a PDF, JPG or PNG file (up to 10 MB per file). Acceptable certificates include the applicable state-issued exemption certificate, a Streamlined Sales Tax (SST) Certificate of Exemption, or a Multistate Tax Commission (MTC) Uniform Sales & Use Tax Exemption/Resale Certificate, in each case where the destination state accepts it.

• Confirm that the name and address on the certificate match your KLEKT account and billing details, and that all required fields (including any purchaser and seller identification and the stated reason for exemption) are completed.

• Submit the certificate for review.

You may upload separate certificates for different states, and you may update or replace a certificate at any time from the same screen. Where an order has already been placed, contact support before it is processed if you believe an approved exemption should apply.

12A.4 Review, approval & when the exemption applies

We aim to review submitted certificates within 5 business days. If a certificate is approved, the exemption applies prospectively to eligible orders placed after approval, and only for the state(s) and exemption type(s) it covers. Approval does not apply retroactively to orders already completed; sales tax already collected on prior orders is handled under section 12 and applicable law. We may request additional information and may decline or revoke a certificate that is incomplete, illegible, expired, invalid, or not accepted by the destination jurisdiction. Nothing in the Exemption Program obliges KLEKT to grant an exemption where it is not reasonably satisfied that the legal requirements are met.

12A.5 Validity, expiry & your obligations

You are responsible for ensuring each certificate is accurate, valid and current. A certificate that expires or is revoked must be replaced; an expired or withdrawn certificate ends the exemption, and sales tax will again be collected at checkout until a valid replacement is approved. You must promptly notify us and update your account if your exemption status changes. Exemptions apply only to the account and to the jurisdictions and transaction types for which a valid certificate is on file.

12A.6 Buyer warranties, indemnity & records

By submitting a certificate you represent and warrant that it is genuine, accurate and validly issued, that you are entitled to the exemption claimed, and that each exempt purchase qualifies for that exemption. You are solely responsible for any tax, use tax, interest and penalties assessed if an exemption is later found to be invalid, misapplied or unsupported, and you agree to indemnify KLEKT for any resulting liability in accordance with section 17. KLEKT may retain certificates and related transaction records, provide them to tax authorities as required, and collect or recover any tax that should have been charged. This section does not limit any non-waivable rights you have under applicable law.

13. Cancellations, Returns & Refunds

13.1 No change-of-mind returns (US)

There is no general right to change your mind and return an item bought on KLEKT in the United States. This applies whether you buy from a Private Seller or a Business Seller, and regardless of item value; change-of-mind (voluntary) returns are not offered to US Buyers. A Business Seller may choose to offer its own return policy, which - together with any non-waivable statutory right - is disclosed on the listing or at checkout and honored accordingly. This does not affect your protection for undelivered, materially-not-as-described or (where authentication was purchased) counterfeit items under section 13.2, or any non-waivable rights you have under applicable law.

13.2 Faulty, not-as-described, undelivered or counterfeit items

If an item is not delivered, arrives materially not as described, or (where authentication was purchased) is found to be counterfeit, you may return it, and the KLEKT Guarantee (section 6.3) and buyer-protection process (section 6.7) apply. To claim, notify us within 2 business days of delivery via your account, with photos. Where a claim is upheld: (a) the Seller bears the cost of return shipping; and (b) you are refunded the Purchase Price, including the original outbound shipping you paid. Refunds are issued once the return is validated under section 13.3. These returns are available to all US Buyers, whether the Seller is a Private Seller or a Business Seller.

13.3 How returns are routed and validated

Where a return is authorized, where you send it and who validates it depend on the item’s logistics lane. (a) Items under the Authentication Threshold ($160), where the logistics lane is supported: you return the item directly to the Seller, who accepts and validates the return. (b) Items at or above the Threshold ($160+) or as otherwise shown, and any item for which authentication was purchased: you return the item to the KLEKT Authentication Centre, which accepts and validates the return before any refund is issued. Where the Seller is at fault (for example, the item is not as described), the item is held at the KLEKT Authentication Centre, and the Seller must either pay the applicable fees (including return shipping and any penalty) to have it returned or, if those fees are not paid, KLEKT may place the item on consignment sale and recover the fees from the sale proceeds (Appendix 1). We provide the applicable return label and instructions when a return is authorized.

13.4 Illegality

Orders may be canceled if the sale becomes unlawful.

14. Fraud, Counterfeits & Enforcement

Zero tolerance for counterfeits, fraud and market manipulation. We may suspend accounts, withhold funds, cancel transactions and cooperate with law enforcement.

15. Disclaimer of Warranties

To the fullest extent permitted by law, KLEKT and the Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. This disclaimer applies to KLEKT’s platform services; it does not disclaim or limit any warranty a Business Seller is required by law to provide to a Consumer, or any other non-waivable statutory right. Some states do not allow the exclusion of implied warranties, so some exclusions may not apply to you.

16. Limitation of Liability

To the fullest extent permitted by law, KLEKT is not liable for indirect, incidental, consequential, special or punitive damages, and KLEKT’s total liability arising out of or relating to any transaction will not exceed the Purchase Price paid for the relevant item. Some states do not allow certain limitations, so some may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless KLEKT from claims, damages, losses and expenses arising out of your breach of these Terms, your listings or purchases, your violation of applicable law, or your infringement of third-party rights.

18. Account Closure & Communications

You may request closure via support; outstanding obligations survive. We communicate via the platform, email or phone; marketing is opt-in and you may opt out anytime. For Direct-Ship Items, delivery details are shared with the Seller solely to fulfill the order.

19. Dispute Resolution; Arbitration; Class-Action Waiver

You and KLEKT agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, rather than in court, except that either party may bring qualifying claims in small-claims court. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules then in effect, where applicable. If the AAA Consumer Arbitration Rules do not apply, the arbitration shall be administered under the applicable AAA rules.

Any in-person arbitration hearing shall take place at a location reasonably convenient to the consumer, ordinarily in the county or metropolitan area in which the consumer resides, unless the parties agree otherwise or the arbitrator determines otherwise in accordance with applicable law and the AAA Rules. The arbitration may be conducted remotely by video conference or other electronic means where permitted by the applicable AAA Rules.

You and KLEKT waive the right to a jury trial and to participate in any class, consolidated or representative action. You may opt out of arbitration by notifying us at support@klekt.com within 30 days of first accepting these Terms.

If 25 or more substantially similar arbitration demands are filed against KLEKT by or on behalf of claimants represented by the same law firm, organisation, or coordinated group, the parties agree that the arbitrations may be administered in batches in accordance with the applicable AAA Mass Arbitration Supplementary Rules. The parties agree to cooperate in good faith with the AAA to facilitate the efficient resolution of such claims. Any provision of this Section 19 that is determined to be unenforceable shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect, except where applicable law requires otherwise.

20. General

We may update these Terms; we will give reasonable notice of material changes, and continued use after they take effect is acceptance. If any provision is unenforceable, the rest remains in effect. Additional policies (including the Privacy Policy) form part of these Terms.

KLEKT - BUSINESS SELLER TERMS

For sellers operating in the course of a trade, business, craft or profession (UK, EU & US)

Last updated: 15 October 2026

These Business Seller Terms govern your use of KLEKT as a Business Seller (a “trader”). They apply in addition to the applicable KLEKT Terms of Service for your region; where they conflict on matters of your selling activity, these Business Seller Terms prevail. Region-specific provisions are in Part C. If you are unsure whether you are a Business Seller, contact us before listing. Fees and commercial terms are in the Schedule.

PART A - GENERAL BUSINESS SELLER TERMS

1. Who these Terms apply to

You are a Business Seller if you list or sell on KLEKT in the course of a trade, business, craft or profession, whether as a sole trader, partnership or company. You must register as a Business Seller and provide the onboarding information in section 4 before listing. Business use includes (without limitation) listing in volume, sourcing for resale, and holding stock for the purpose of sale.

2. Relationship of the parties

KLEKT is a marketplace platform and provides authentication, payment-facilitation and logistics services. KLEKT is not the seller of your items, does not take title, and is not your agent for concluding sales. Each contract of sale is between you and the Buyer. You are an independent business responsible for your own tax, regulatory and legal compliance.

3. Consumer law - your responsibilities to Buyers

Because you sell as a trader, Buyers who are consumers have statutory rights that do not apply to private-seller sales. You are responsible for meeting these, and you authorise KLEKT to administer certain of them on your behalf (e.g., processing cancellations and refunds) and to recover corresponding amounts from you.

  • Right to cancel / withdraw (distance sales). UK and EU consumer Buyers generally have a 14-day right to cancel without reason (UK Consumer Contracts Regulations 2013; EU Directive 2011/83/EU). You must accept valid cancellations and refund the Purchase Price (including standard outbound shipping) within the statutory period. See Part C for regional detail and the limited statutory exceptions. This change-of-mind right applies to UK and EU consumer Buyers only; it does not apply to US consumer Buyers or to business Buyers. The Buyer bears the cost of return shipping, and outbound shipping is refunded only where the statutory right applies.
  • Conformity / quality. Items must be as described, of satisfactory quality and fit for purpose (UK Consumer Rights Act 2015; EU Directive (EU) 2019/771 legal guarantee of conformity). You are responsible for statutory remedies (repair, replacement, price reduction, refund) for faulty or non-conforming goods. For faulty or not-as-described items, you bear the cost of return shipping and refund the Buyer’s original outbound shipping in addition to the Purchase Price; such returns are routed and validated as set out in section 6.
  • Pre-contract information. You must provide accurate, complete listing information. KLEKT will display your trader status to Buyers.
  • Authenticity. Every item must be genuine. Selling counterfeit goods is a serious breach and may be unlawful.

You will indemnify KLEKT against losses arising from your failure to meet your consumer-law obligations, and KLEKT may deduct or recover refunds, chargebacks and related costs from your payouts, balance or payment method.

4. Onboarding, verification & records

To register you must provide and keep current: legal business name and trading name; legal form and registration/company number (where applicable); registered and trading addresses; VAT/sales-tax registration numbers (where applicable); a named contact and business email/phone; bank/payout details; and identity/beneficial-ownership information we reasonably require for KYC, anti-money-laundering and sanctions screening. We may suspend listings or payouts until verification is complete, and we may re-verify periodically.

Tax reporting. You acknowledge that KLEKT may be required to collect and report information about you and your transactions to tax authorities under applicable digital-platform reporting rules (e.g., EU DAC7 and the equivalent UK digital platform reporting rules based on the OECD Model Rules, and applicable US information-reporting rules such as Form 1099-K). You must provide the information we need for this and confirm its accuracy.

5. Listings, content & intellectual property

Each listing must be for a real, individual item you hold in stock, described accurately (model, size, condition, defects, included components/packaging) using your own photographs of the actual item. You grant KLEKT a royalty-free, worldwide, sublicensable licence to host, use, reproduce, adapt and display your listing and Profile content to operate, authenticate, secure and promote the Services. You warrant that you own or are licensed to use all content and IP in your listings (including brand references) and that your listings do not infringe third-party rights; you will indemnify KLEKT against infringement claims. You must comply with applicable advertising, labelling, product-safety and sector rules for the goods you sell.

6. Fulfilment, logistics & authentication

Your items follow KLEKT’s two logistics lanes: - Authenticated Items (at or above the Authentication Threshold): ship to your nearest KLEKT Authentication Center for authentication before onward delivery. - Direct-Ship Items (in a supported region AND under the Threshold): ship directly to the Buyer using the label/instructions we provide. In certain circumstances, you may be able to provide your own shipping label. The platform will show you when this is supported and you will be required to upload shipping details to ensure the Buyer and KLEKT can track the shipment. To enable this, the Buyer’s delivery details are shared with you solely to fulfil that order; you must handle them in compliance with data-protection law and use them for no other purpose.

You must accept orders and ship within the stated timeframes, include all listed components, retain proof of shipment, and meet the condition and matching requirements. Mismatch, late shipment, non-shipment and related events attract Administrative Fees (Schedule) and may trigger consignment for Authenticated Items.

Returns and their routing. When a Buyer returns an item, where it is sent and who validates it depend on the logistics lane. Items under the Authentication Threshold are returned directly to you, and you accept and validate the return. Items at or above the Threshold, and any item for which authentication was purchased, are returned to the KLEKT Authentication Centre, which accepts and validates the return. Once validated, the item is held at the KLEKT Authentication Centre: you must either pay the applicable fees (including return shipping and, where you are at fault, any penalty) to have it returned, or, if those fees are not paid, KLEKT may place the item on consignment sale and recover the fees from the sale proceeds (Schedule). For faulty or not-as-described items you bear the cost of return shipping and the refund of the Buyer’s original outbound shipping. Change-of-mind cancellations (available to UK and EU consumer Buyers only) are returned at the Buyer’s cost, with outbound shipping refunded only where the statutory right applies; they are not available to US consumer Buyers or to business Buyers.

7. Fees, payouts & Trust Tiers

Your Service Fee, payout timing, listing allowance and optional paid features are set out in the Schedule. Business Seller fees follow the Trust-Tier structure; tier criteria are set by KLEKT and shown in your dashboard. KLEKT may deduct fees, refunds, chargebacks, Administrative Fees and recoverable consumer refunds from your payouts, balance or payment method, and may set off amounts across your account.

8. Data protection

Where you process personal data of Buyers (e.g., delivery details for Direct-Ship Items), you act as an independent controller and must comply with applicable data-protection law (UK GDPR / EU GDPR / applicable US state privacy laws). You must use Buyer data only to fulfil the specific order, keep it secure, not retain it longer than necessary, and not use it for marketing or any other purpose. A data-processing/sharing addendum may apply.

9. Prohibited conduct

You must not: sell counterfeit, stolen, unsafe or unlawful goods; misrepresent items or your business; manipulate pricing, reviews or rankings; solicit or divert transactions off-platform to avoid fees or safeguards; use another party’s content or images; or breach applicable law. Breach may result in the measures in section 10 and in liability to KLEKT and to Buyers.

10. Suspension, restriction & termination (platform-to-business transparency)

We may restrict, suspend or terminate your access, listings or account. Because you are a business user: - Where we restrict or suspend specific listings or your access, we will give you a statement of reasons at or before the time it takes effect, unless we are prevented from doing so by law, by a legal/regulatory order, or where doing so would compromise an investigation into fraud, counterfeits, illegality or platform-security. You may seek clarification through our internal complaint-handling process. - Where we intend to terminate your account entirely, we will give reasons and, where required by applicable law, at least 30 days’ notice, except where we are entitled to act more quickly (e.g., repeated breaches, legal obligations, or serious risk to Buyers, third parties or the platform). - We may act immediately where necessary to address fraud, counterfeits, safety or security risks, unlawful content, or legal obligations.

11. Changes to these Terms (notice for business users)

We may change these Business Seller Terms and the Schedule. Except for changes required by law or needed to address security, fraud or legal risk (which may take effect immediately), we will give you at least 15 days’ notice (or longer where required) of changes, during which you may terminate. Continued use after changes take effect is acceptance.

12. Ranking transparency

Where listings and Profiles are ranked, sorted or featured, the main parameters include price, demand, item condition, seller performance and reliability, historical transaction and dispute data, buyer relevance signals, and paid promotion (Promoted Listings/Profiles). Paid promotion may influence ranking and, where it does, this is disclosed. We do not guarantee visibility, ranking or sales.

13. Complaints & mediation (business users)

We operate an internal complaint-handling system for Business Sellers; you may raise complaints about the Services, technical issues, or measures we take against you, via support@klekt.com, and we will handle them promptly and communicate the outcome.

Where required by applicable law, including Regulation (EU) 2019/1150 (the Platform-to-Business Regulation), we are willing to engage in mediation with Business Sellers to seek to resolve disputes arising in connection with the provision of the KLEKT marketplace. For this purpose, we have identified the following mediators: (i) Centre for Effective Dispute Resolution (CEDR); and (ii) European Platform for Online Mediation (e-POM). A Business Seller may request mediation with either mediator in accordance with the applicable mediation provider’s procedures. The parties shall cooperate in good faith with the mediation process. Nothing in this section prevents either party from initiating judicial proceedings at any time before, during or after mediation, and participation in mediation is not a condition of bringing such proceedings.

14. Liability (as between KLEKT and you)

As between KLEKT and you (a business), and subject to non-excludable liabilities, KLEKT is not liable for indirect, incidental, consequential, special or punitive damages, or for loss of profit, revenue, goodwill or anticipated savings; and KLEKT’s total liability arising from the Services in any 12-month period is capped at the total fees you paid KLEKT in that period. Nothing limits liability that cannot be limited by law.

15. Indemnity

You indemnify and hold harmless KLEKT against all claims, losses, damages, fines and costs (including reasonable legal fees) arising from your listings, sales, content, breach of these Terms, breach of consumer, product-safety, IP, data-protection or tax law, or infringement of third-party rights.

16. Term & survival

These Terms apply for as long as you hold a Business Seller account. Provisions that by nature should survive (including fees owing, consumer-refund responsibility, IP licences for content already provided, indemnities, liability, tax reporting and dispute resolution) survive termination.

PART B - DEFINITIONS & INTERPRETATION

Capitalised terms not defined here have the meaning in the applicable regional KLEKT Terms of Service. Authentication Threshold, Authenticated Item, Direct-Ship Item, Service Fee, Administrative Fee, Trust Tier, Purchase Price, Seller Price and Consumer carry those meanings. “Business Seller”, “you” and “your” refer to the trader accepting these Terms.

PART C - REGIONAL PROVISIONS

Apply the section for the region in which you are established / from which you sell. Where you sell into more than one region, the consumer-law provisions of the Buyer’s region also apply to the relevant sale.

C1. United Kingdom

  • Platform-to-business rules. KLEKT applies transparency, notice, reasons, complaint-handling and mediation practices consistent with the retained UK version of Regulation (EU) 2019/1150 (P2B), reflected in Part A.
  • Consumer cancellation. Consumer Buyers have a 14-day right to cancel distance purchases under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, subject to statutory exceptions. You must provide the required pre-contract information; KLEKT displays your trader status and cancellation information and can administer the cancellation via your account.
  • Quality rights. The Consumer Rights Act 2015 (satisfactory quality, fit for purpose, as described) applies to your sales to consumers.
  • Tax. You are responsible for VAT and for the accuracy of your VAT status; KLEKT may be required to report your data under UK digital platform reporting rules.

C2. European Union

  • Platform-to-business rules. KLEKT applies Regulation (EU) 2019/1150 (P2B): plain and intelligible terms; at least 15 days’ notice of changes; statement of reasons for restrictions/suspensions/terminations; ranking-parameter transparency; internal complaint-handling; and identified mediators (Part A, sections 10–13).
  • Consumer withdrawal. Consumer Buyers have the 14-day right of withdrawal under Directive 2011/83/EU, subject to statutory exceptions, and you must honour it. You must provide the required pre-contract information and the model withdrawal form; KLEKT displays your trader status.
  • Conformity. Directive (EU) 2019/771 (legal guarantee of conformity, generally two years) applies to your sales to EU consumers.
  • DSA. You must provide traceability information (“Know Your Business Customer”) required under the Digital Services Act, and comply with our notice-and-action and information requests.
  • Tax. You are responsible for VAT (including any OSS/IOSS obligations); KLEKT may report your data under DAC7.

C3. United States

  • Trader status & disclosures. You are responsible for compliance with FTC rules and applicable state consumer-protection, warranty (including implied warranties where non-waivable), auto-renewal and disclosure laws. The platform’s “as is” disclaimer does not limit warranties you are required to provide to consumers.
  • INFORM Consumers Act. You must provide and verify the seller information required of high-volume third-party sellers (bank/tax ID, contact and business details) and keep it current; KLEKT will disclose required seller information to consumers as legally required.
  • Sales tax. KLEKT acts as marketplace facilitator and will collect/remit sales tax where required; you remain responsible for your own tax registrations and for any tax obligations not covered by marketplace-facilitator collection.
  • US launch campaign. The 90-day zero-seller-fee campaign and its graduation schedule (Schedule) apply to eligible US Business Sellers; the 3% order-processing charge applies throughout the campaign.
  • Returns & change-of-mind. US consumer Buyers have no change-of-mind or withdrawal right and no general right to return; you need not accept change-of-mind returns from US Buyers. You remain responsible for undelivered, materially-not-as-described and (where applicable) counterfeit items: for these you bear the cost of return shipping and refund the Buyer’s original outbound shipping, and the return is routed and validated under section 6.
  • Dispute resolution. The dispute-resolution provision in the US Terms of Service (arbitration/class-waiver or courts, as adopted) applies to disputes between you and KLEKT to the extent enforceable for business users.
