KLEKT UK – TERMS OF SERVICE

1. Introduction & Acceptance

KLEKT is an online marketplace operated by Authenticated By Ltd trading as KLEKT (“KLEKT”, “we”, “us”, “our”), which allows registered users to buy and sell authenticated consumer goods. 

Our company number is 11767589 and our VAT number is 313 9211 32. 

Our registered office address is Suite 312 Atlas House Caxton Close, Wigan, Lancashire, England, WN3 6XU.

These Terms of Service (“Terms”) apply whenever you access or use the KLEKT app or website (“KLEKT UK”), whether or not you are registered. They govern your relationship with us and, where applicable, with other users when buying or selling items through KLEKT.

By accessing or using KLEKT, you agree to be bound by these Terms. If you do not agree, you must not use KLEKT.

2. Definitions

Key definitions used in these Terms:

  • Buyer – a registered user who purchases an item through KLEKT
  • Seller – a registered user who sells an item through KLEKT
  • Registered User – a person with an active KLEKT account
  • Seller Price – the amount the Seller agrees to receive for an item
  • Service Fee – the fee charged by KLEKT for providing marketplace, authentication, payment and shipping services
  • Purchase Price – the total price paid by the Buyer, including the Seller Price and Service Fee
  • Administrative Fee – fees charged for specific events such as authentication failure or failed delivery
  • Services – the services provided by KLEKT as described in these Terms
  • Working Day – any day other than Saturdays, Sundays or public holidays in England
  • Defects - any material discrepancy between an item and its listing, identified during authentication
  • Trader - A company or individual selling items in the course of trade, business, craft or profession
  • Sale - When a Buyer places an order for listed Seller Price or a bid/counter offer is accepted by both the Seller and Buyer
  • New - Unused item from a past release that has never been worn or used and remains in its original condition. Brand new, unused item in original condition with all original components and packaging (where applicable).
  • New with Defects - Unused item with minor manufacturing defects or cosmetic imperfections not limited to but including missing accessories. All of which must be clearly and accurately disclosed in the listing.
  • Used - An item that has been previously worn or used and may show signs of wear; the seller must provide accurate descriptions and images reflecting its current condition.

3. The KLEKT Marketplace Model

3.1 Role of KLEKT

KLEKT is a marketplace platform, not a retailer.

  • KLEKT does not own, sell, or resell items listed on KLEKT UK.
  • All contracts for the sale of items are formed directly between the Buyer and the Seller.
  • KLEKT acts as:
    • a marketplace operator,
    • an authentication service provider,
    • a payment collection and disbursement agent,
    • and a shipping coordinator.

3.2 No Auctioneering

KLEKT is not an auctioneer. Any bidding or “buy now” functionality does not constitute an auction.

4. Eligibility & Accounts

4.1 Eligibility

To use KLEKT, you must:

  • be at least 18 years old;
  • have legal capacity to enter into contracts; and
  • use KLEKT for personal, non-business purposes only.

Please note that business or trader use is not currently permitted. The law imposes special rules on traders. If you are suspected of making business use of KLEKT UK, we reserve the right to cancel your listing and/or account.

4.2 Account Registration

You may browse KLEKT without registering. Registration is only required to buy or sell items.

You must:

  • provide accurate, complete and current information;
  • keep your account details up to date; and
  • maintain the confidentiality of your login credentials.

You may only hold one account unless we give explicit permission otherwise. 

If one or more of your accounts has been suspended or terminated by us you must not continue to use any other accounts you may have, or create any new accounts, without our permission.

We reserve the right to open an investigation if we are unable to verify your identity.

4.3 Single Sign On / Third Parties

We may allow registration using accounts registered with Third Party Accounts, such as Meta or Google Single Sign On. Regardless of whether you use such an account to access KLEKT or register an account directly with us, you will be bound by these Terms. Enabling you to use a Third Party Account does not suggest any association between us and the third party company with whom you have registered the Third Party Account.

4.4 Suspension & Termination

We reserve the right to suspend or terminate your account or any listing at any time for any reason 

We may suspend or terminate your account or listings if you breach these Terms, provide inaccurate information, engage in prohibited conduct, have an extended period of inactivity, or create legal or reputational risk.

4.5 Your Data

The Registration Data we collect includes your name, address, telephone number, email address, date of birth, and payment information such as a valid credit card or other approved payment method. See our Privacy Policy for further information on what data we collect, your rights, and more.

4.6 Unauthorised Access to Your Account

You are responsible for any use of your account using your email address / phone number and password, for keeping your password confidential and for logging out of your account at the end of each session. 

Account sharing is strictly prohibited.

You are responsible for any and all actions taken by any person who accesses your account, whether it is authorised or not.

You agree to let us know immediately if you become aware of or suspect any unauthorised use of your account. 

5. General User Obligations

You agree to:

  • comply with all applicable laws;
  • act honestly and in good faith;
  • not circumvent platform safeguards;
  • not engage in fraud, manipulation or misuse.

You are responsible for all activity on your account.

6. Buying on KLEKT 

6.1 How Purchases Work

You may purchase items by:

  • paying the listed price using the “Buy Now” function,
  • placing a bid which is accepted, or
  • accepting a counter-offer.

6.2 Binding Effect

When you place a bid, accept an offer, or click “Buy Now”, you make a legally binding commitment to purchase the item.

6.3 Payment

When using the ‘Buy Now’ function, we pre-authorise the total transaction amount. Once a seller has accepted your order, we capture the payment in full.

If your order is not accepted, we void the pre-authorisation and the funds are released. The timing of this is dependent on your bank and can, in some cases, take a few business days. 

Accepted payment methods including:

  • VISA CREDIT / DEBIT
  • MASTERCARD CREDIT / DEBIT
  • PAYPAL
  • GOOGLE PAY

6.4 Authentication & Defects

All purchases are conditional upon authentication. If an item fails authentication:

  • the sale is cancelled; and
  • the Buyer receives a full refund (subject to normal payment processing timelines, typically 3-5 working days).

If an item is not as described, but confirmed as authentic, we will contact the Buyer to determine whether or not to proceed with the sale. If the Buyer does not accept the defects:

  • the sale is cancelled; and
  • the Buyer receives a full refund.

When you are viewing a listing for an item, please be aware that the display settings of your device may cause colours and other aspects of the items to look slightly different in real life to the way they look on screen. 

6.5 Title

Ownership of the item transfers to the Buyer only after:

  • successful authentication; and
  • payment to the Seller.

Unless you tell us otherwise, we will assume that you are purchasing an item via KLEKT for your own use. 

If you purchase an item on behalf of someone else, please be aware that you will still be responsible for complying with the obligations set out in these Terms, including payment obligations.

6.6 Buy Now & Fallback

If you use the “Buy Now” function, KLEKT will attempt to match your order with the lowest available listing for the selected product and size at the time of purchase.

If a seller declines the order or fails to ship the item to KLEKT for authentication within the required timeframe, an automated fallback process will apply:

  • Alternative Listing: The system will first attempt to assign another available listing of the same product and size within the applicable price range. If successful, the order will continue automatically without further action from you.
  • Bid: If no suitable listing is available, a bid will be created on available listings of the same product and size on your behalf, at your original purchase price. A bid remains active for up to thirty (30) days and will convert into an order only if accepted by a seller. If not accepted within that period, it will expire. The creation of a bid does not guarantee automatic matching, even if a new listing becomes available.

If, during the fallback process, a replacement listing becomes available at a lower price and your order proceeds under the then-current pricing flow, you will receive a refund of the price difference.

The fallback logic applies only where buyer and seller are located in the same region.

6.7 Bidding & Counter Offers

If you place a bid for a particular item at a price which is lower than the displayed Purchase Price, you are making a legally binding offer to purchase the item at the Purchase Price you propose. Payment is only taken after your offer has been accepted. You must go back into the KLEKT platform to make payment of the accepted offer in order for your order to progress.

Your accepted bid will be available for 24 hours, after which it will expire.

The Seller may either accept or reject that bid, or alternatively make you a counter-offer. 

You may either accept that counter-offer (in which case the sale will complete and this will form a legally binding contract between you and the Seller in accordance with the amount set out in the counter-offer) or reject that counter-offer (in which case no sale will take place and your bid will become an “open bid”).

If the Seller rejects the bid or does not accept within the allotted time, no sale will take place and your bid will become an “open bid”.

If you have an “open bid” for an item, this can be accepted by any Seller on the platform who has an item meeting that description.

6.8 Add Ons

During the checkout process, customers may have the option to purchase additional products or services (“Add-Ons”). All Add-Ons are optional and are priced as set out in Appendix 1 at the time of purchase.

All Add-Ons are final sale. Once purchased, Add-Ons are non-refundable and cannot be cancelled, returned, or exchanged unless otherwise required by applicable law.

Where an Add-On includes cleaning services, cleaning will be performed by KLEKT’s designated professional team. While reasonable care and skill will be exercised, KLEKT does not guarantee that all marks, stains, odours, creases, or blemishes will be fully removed or that the item will be restored to its original or “as new” condition. Cleaning outcomes may vary depending on the material, age, condition, and nature of any damage or staining present prior to treatment.

By purchasing a cleaning Add-On, you acknowledge and accept these limitations.

6.9 Optional Delivery Guarantee

During the checkout process, customers may have the option to purchase an additional delivery guarantee.

Standard coverage is included for orders up to EUR 80. The optional Delivery Guarantee extends coverage up to a maximum value of EUR 500 per order.

Any claim for loss or damage exceeding EUR 500 will be considered at KLEKT’s sole discretion and is not guaranteed.

This optional add on is subject to a claims process and any additional terms communicated at checkout.

7. Selling on KLEKT 

7.1 Seller Warranties

By listing an item, you warrant that:

  • you own the item outright and have the right to sell it;
  • the item is authentic;
  • the listing is accurate (including the description of the item model, size, included accessories, box condition, item condition, and the amount you would like to receive for the item in euros (€));
    • the sale is lawful; and
    • no third-party rights are infringed.

7.2 Listings as Offers

A listing constitutes an offer to sell. Acceptance by a Buyer forms a binding contract.

7.3 Acceptance Obligations

After sale, you must accept the order within the required timeframe and in accordance with instructions provided.

7.4 Shipping Obligations

After sale, you must ship the item inclusive of all listed components (such as box and accessories) to KLEKT within the required timeframe and in accordance with instructions provided.

Failure to do so may result in cancellation and fees.

Please ensure that shoes in a pair are BOTH the correct size and condition, matching the listing.

You are required to retain proof of shipment. 

7.5 Consignment

If you ship an item to the KLEKT warehouse for authentication and the item does not match the description in your listing, the order cannot and will not be fulfilled (for example, due to incorrect size, missing components/accessories, or incorrect product).

Our expert authentication team will record the reason for the failure. Where the selected reason and applicable system configuration permit, the authenticator may create a consignment listing for the item. This means your item is retained and stored by us, and relisted on KLEKT for sale.

If you do not wish for your item to be stored by us and consigned, you must pay any applicable fees and costs associated with returning the item to you.

Where a consignment listing is created:

  • the item will be stored at the KLEKT warehouse;
  • the item will be listed for sale;
  • upon purchase, the item will be shipped directly from the KLEKT warehouse to the buyer.

The consignment listing price may be automatically reduced over time. Buyers will see the current price at the time of purchase. You may amend the listing price of the consignment item via your account, subject to applicable platform rules.

If the consignment item sells, any relevant fees will be deducted from your payout.

8. Listings & User Content

8.1 Accuracy

Listings must accurately describe condition, defects and included packaging.

Please note that item packaging is shown for illustrative purposes only and the packaging of the item you receive may be different, which will be noted on the listing.

Before buying an item, you must read a listing carefully and raise any queries you have with us before you make your purchase. 

Listings are constantly being optimised and you should therefore always check before you make a purchase in case there have been any changes to the listing since you initially reviewed it.

8.2 Content Licence

By uploading photos or content, you grant KLEKT a royalty-free, worldwide licence to use, reproduce and display that content for marketplace and promotional purposes.

8.3 Conditions & Defects

We accept listings that are new, new with defects, deadstock and used.

If the item is new with defects or used, you must provide complete and accurate information about it’s condition, any defects and upload images according to the designated template.

If any information you include in your listing represents a statement of your opinion, it must represent your honest, reasonable and considered opinion and you must specifically say that it is a statement of opinion.

9. Pricing, Fees & Payments

9.1 Fees

  • Browsing and registration are free.
  • The Service Fee is included in the Purchase Price and covers authentication, shipping, handling, payment processing and VAT.

9.2 Administrative Fees

Administrative Fees may apply for events including:

  • authentication failure,
  • late shipment,
  • failed delivery,
  • Storage / Consignment,
  • off-platform sales,

If the fees are unpaid, we reserve the right to deduct fees from payouts or charge your payment method.

9.3 Taxes

Users are responsible for any applicable taxes unless expressly stated otherwise.

9.4 Failure to Pay

You must only purchase an item that you genuinely intend to purchase and in respect of which you have sufficient available funds to pay the Purchase Price.

10. Authentication

All items are inspected by KLEKT’s professional authentication team and a professional Third Party Authenticator.

Authentication decisions are made using commercially reasonable expertise and are final.

11. Shipping, Delivery & Risk

  • KLEKT provides two shipping options to sellers (depending on their location):
    • Pick Up (Only available in certain locations, subject to availability)
    • Drop Off
  • Sellers ship items to KLEKT.
  • KLEKT ships authenticated items to Buyers, ensuring to double box when possible to protect the items during shipping.
  • KLEKT provides tracking information to the Buyer (only once it has been dispatched to the Buyer).
  • Delivery times are estimates only.
  • Risk transfers to the Buyer upon delivery.

12. Cancellations, Returns & Refunds

12.1 No General Right to Cancel

Because KLEKT facilitates private sales, there is no general right to cancel or return items for customers in the United Kingdom.

If you are a consumer resident in the European Union, you may return items purchased on KLEKT within 14 calendar days of delivery, in accordance with applicable EU law.

To return an item, notify KLEKT via your account or support.

  • The item must be returned in its original condition, with the KLEKT Tag attached.
  • You will receive a full refund of the Purchase Price upon receipt and inspection of the returned item, minus any fees.
  • Original shipping fees are not refundable, unless the item is faulty or misdescribed. 
  • You are responsible for the cost of returning the item to us, unless it is faulty or not as described. This will be deducted from the refund amount. 
  • Refunds will be processed within 14 days of receiving the returned item. 

Outside of EU consumer transactions, returns are not generally accepted.

12.2 Legal Rights

Nothing in these Terms limits your statutory consumer rights where applicable.

12.3 Illegality

Orders may be cancelled if the sale becomes unlawful.

13. Fraud, Counterfeits & Enforcement

We operate a zero-tolerance policy for counterfeit items, fraud and market manipulation.

We may suspend accounts, withhold funds, cancel transactions, and cooperate with law enforcement.

14. Account Closure

You may request account closure at any time via our support team. Once received, we will consider your cancellation request within 3 Working Days.

Outstanding obligations survive closure.

We may delay closure where necessary to complete transactions or investigations.

15. Availability & Liability

KLEKT is provided “as is”.

We do not guarantee uninterrupted access.

Nothing limits liability for death, personal injury, fraud or other non-excludable matters.

Otherwise, our liability is capped at the lower of:

  • the Purchase Price of the item; or
  • £10,000.

16. Communications

16.1 Marketing and Transactional Communications

We communicate electronically via the platform, email, or phone.

In compliance with legislative requirements, marketing communications are only sent to users who have opted in.

You may opt out of the usage of your data for marketing communications at any time by contacting us via support or clicking the link sent with each marketing communication.

16.2 Communications Between Buyers and Sellers

All messages that you send via KLEKT are forwarded to other users anonymously, so they will not see your email address. We will not send confidential or sensitive information about you to other users (such as your name, address, telephone number, email address or date of birth) without your consent. Similarly, we will not provide such information about other users to you without their consent.

16.3 Transactional Communications

When you transact on KLEKT (for example, place an order using “buy now”), you will receive automated emails detailing what is happening with your order. 

If you do not receive these, please check your spam folder. We are not responsible for anything that occurs as a result of incorrect email filtering or emails going to spam. 

17. Disputes

We encourage users to contact us first. Where appropriate, we may assist with dispute resolution or ADR.

18. Additional Policies & Third-Party Content

Additional policies form part of these Terms. Where policies conflict, the policy applies.

Third-party content is used at your own risk.

19. Changes to These Terms

We may update these Terms from time to time. Continued use constitutes acceptance.

20. Governing Law

These Terms are governed by English law. English courts have exclusive jurisdiction.

Appendix 1 – Fees & Charges

This Appendix explains the fees that may apply when using KLEKT UK.

All fees are subject to these Terms of Service.

1. Service Fee

1.1 Scope

Service Fees cover things such as:

  • Access to and use of the KLEKT marketplace
  • Authentication services
  • Shipping, handling and logistics
  • Payment processing
  • VAT (where applicable)

Service Fees are non-refundable except where required by law.

1.2 Seller Fees

  • Seller Commission: 6%
  • Payment Processing Fee: 2%
  • Shipping: Variable Depending on Location

These fees are displayed prior to sale confirmation and deducted from Seller payouts.

1.3 Buyer Fees

  • Buyer Protection Fee : 5%
  • Payment Processing Fee: 2%
  • Shipping: Variable Depending on Location
  • Customs & Duties: Variable depending on destination country

These fees are displayed at checkout prior to order confirmation.

2. Administrative Fees

Administrative Fees apply only where a specific triggering event occurs.

2.1 Seller Administrative Fees

These fees may be deducted from Seller payouts, deducted from the Seller’s KLEKT balance or charged to the Seller’s saved payment method.

2.2 Buyer Administrative Fees

Buyer Administrative Fees may be charged to the Buyer’s saved payment method.

  • Event: Failed delivery due to Buyer Error
    • Fee Type: Re-delivery fee
  • Event: Item returned uncollected
    • Fee Type: Return shipping fee
  • Event: Buyer-requested re-routing
    • Fee Type: Re-routing fee

Applicable amounts will be communicated at the time the fee arises.

3. Storage 

If an item cannot be delivered or collected due to the action or inaction of the Buyer or Seller, the item will be stored in a secure location.

If administrative fees remain unpaid for more than 30 days, we reserve the right to adjust the listing price so that the item is priced at the lowest available price for the same item on KLEKT, in order to encourage a sale.

You may log into your KLEKT account at any time to change the listing price.

If fees remain unpaid or the item remains uncollected beyond 90 days, KLEKT reserves the right to:

  • Resell or consign the item;
  • liquidate the item;
  • donate the item;
  • destroy the item; or
  • otherwise dispose of the item without liability.

Proceeds may be applied toward outstanding fees, storage, logistics, and recovery costs. No guarantee of surplus payment is made.

4. Promoted Listings, Add Ons & Delivery Guarantee

We may offer optional paid features, including Promoted Listings, Add-Ons, and Delivery Guarantee services. The applicable fees for these services are set out below:

Promoted Listings are optional paid features designed to increase the visibility of an item on the platform. Promotion fees are non-refundable once the promotion has commenced. KLEKT does not guarantee increased visibility, engagement, or sales performance resulting from any promoted listing.

Optional Add-Ons and Delivery Guarantee products are subject to the applicable fees and conditions set out here and are further governed by Sections 6.7 and 6.9 of these Terms.

5. Deductions, Set-Off & Recovery

KLEKT may:

  • deduct applicable fees from Seller payouts;
  • charge the Buyer’s or Seller’s saved payment method; or
  • offset fees against amounts otherwise payable.

If payment cannot be recovered, we may suspend accounts or take recovery action.

6. Fee Changes

Fees may change from time to time.

Any changes apply prospectively only and will be displayed on KLEKT or notified to users where required.

7. Taxes

Unless expressly stated otherwise:

  • all fees are inclusive of VAT where applicable; and
  • users are responsible for any additional taxes, duties, or charges imposed by law.

8. Transparency & Support

Current fees are displayed:

  • during checkout,
  • during listing,
  • or in the relevant help or FAQ sections of KLEKT.

If you believe a fee has been applied incorrectly, please contact customer support promptly.

Failure to apply a fee in one instance does not waive KLEKT’s right to apply it in future instances.

KLEKT reserves the right to introduce additional safeguards, penalties, or risk-mitigation charges where necessary to protect platform integrity.

Appendix 2 – European Union (EU) Addendum

This EU Addendum applies only to users who are habitually resident in the European Union.

Where this Addendum conflicts with the main Terms, this Addendum prevails.

1. Consumer Rights (EU)

Nothing in these Terms affects your mandatory consumer rights under applicable EU consumer protection laws, including (where applicable):

  • Directive (EU) 2019/770 (digital content and services)
  • Directive (EU) 2019/771 (sale of goods)
  • Directive 2011/83/EU (consumer rights)

2. Right of Withdrawal

2.1 Marketplace Transactions

Because KLEKT UK facilitates private sales between users, the statutory 14-day right of withdrawal does not generally apply to transactions between Buyers and Sellers on KLEKT UK.

2.2 Exceptions

If EU law requires a right of withdrawal to apply in a specific circumstance, KLEKT will comply with that obligation.

3. Digital Services Compliance

KLEKT will provide its digital services:

  • with reasonable care and skill; and
  • in accordance with applicable EU law.

Where required, you may have rights to:

  • correction,
  • continuation of service, or
  • termination of your use of KLEKT UK.

4. Transparency & Ranking

Where listings are ranked, sorted or featured, this may be influenced by factors including:

  • price,
  • demand,
  • item condition,
  • seller performance,
  • historical transaction data,
  • promotional placement.

KLEKT does not guarantee visibility, ranking, or sale.

5. Online Dispute Resolution (ODR)

If you are an EU consumer, you may be entitled to submit complaints via the EU Online Dispute Resolution (ODR) platform.

KLEKT is not obliged to participate in ODR unless required by law, but will engage where legally mandated.

6. Governing Law & Jurisdiction (EU)

If you are an EU consumer:

  • you may benefit from mandatory consumer protection laws of your country of residence; and
  • nothing in these Terms deprives you of those protections.

Appendix 3 – United States (US) Addendum

This US Addendum applies only to users who are resident in the United States.

Where this Addendum conflicts with the main Terms, this Addendum prevails.

1. Marketplace & Platform Role 

KLEKT acts solely as a marketplace facilitator.

  • KLEKT is not the seller of items.
  • KLEKT does not take title to items.
  • Sellers are solely responsible for the accuracy, legality, and authenticity of listings.

2. Disclaimer of Warranties

To the fullest extent permitted by law, KLEKT UK and the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including:

  • merchantability,
  • fitness for a particular purpose,
  • non-infringement.

Some states do not allow the exclusion of implied warranties, so these exclusions may not apply to you.

3. Limitation of Liability

To the fullest extent permitted by law:

  • KLEKT shall not be liable for indirect, incidental, consequential, special, or punitive damages.
  • KLEKT’s total liability arising out of or relating to any transaction shall not exceed the Purchase Price paid for the relevant item.

Some states do not allow limitations of liability, so these limits may not apply to you.

4. Indemnification

You agree to indemnify and hold harmless KLEKT from any claims, damages, losses, and expenses arising out of:

  • your breach of these Terms;
  • your listings or purchases;
  • your violation of applicable law; or
  • your infringement of third-party rights.

5. Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

You agree that any legal action must be brought exclusively in the state or federal courts located in New York, New York, unless prohibited by applicable law.

6. No Class Actions

You agree that disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action.

7. Sales Tax

For orders where the buyer is located in the United States, applicable sales tax may be calculated and added at checkout in accordance with federal, state, and local laws.

KLEKT will determine, collect, and remit sales tax where required based on factors including, but not limited to, the shipping address, the nature of the product, and applicable marketplace facilitator laws. The amount of sales tax charged will be displayed at checkout prior to order confirmation.

Buyers are responsible for providing accurate billing and shipping information. Failure to do so may result in incorrect tax calculation, for which KLEKT shall not be liable.

Where sales tax is required but not collected at checkout, buyers remain responsible for any applicable use tax or similar obligations under local law.

All tax amounts are non-refundable except where a refund of the underlying transaction is issued, in which case any applicable sales tax will be refunded in accordance with relevant legal requirements.
